Introduce Soitec and context of the position

 

Key responsibilities 

Key responsibilities of this role will include all legal matters which arise in headquarter business including customer contracts, supply contracts, M&A, compliance, antitrust, product liability, customer issues and litigation.  The role will provide direct support to the management teams headquartered in Singapore. 

The role will include interaction with Soitec legal counterparts. 

 

Responsibilities include:

  • Contract negotiations, Development and maintenance of standard contract templates (customer contracts, distribution agreements, key account contracts, etc.), intellectual property (licenses, R & D);
  • Efficient management of litigation,
  • Coordination and management of M&A transactions,
  • Legal advice on product safety matters, 
  • Key contributor to Channel management of counterparties, 
  • Supervision of corporate secretary for all companies.
  • Outside counsel management (corporate activities, litigations, etc.).
  • Providing high quality legal advice and support to the Asian business teams, corporate functions and the Asian leadership team.  Analyze legal and commercial risks while supporting the Asian business team objectives.
  • Deliver timely, sound and practical legal advice and support to business leaders
  • Develop and conduct training for field and sales personnel if required
  • Develop standard work and standard processes for legal review and approval
  • Participate in departmental continuous improvement projects, particularly those relating to contract processes.

 

Compliance practices:

  • Ensure compliance with the “Code of Ethics”, laws, and regulation,
  • Work with the regional and local compliance officers on compliance investigations and matters,
  • Participate in relevant audits,
  • Provide compliance guidance to business,
  • Coordination and management of compliance trainings and guidance.

Requirements & qualifications

Education

  • Law (L.L.B) Degree or BBA/Commerce degree from an accredited college or university.
  • 5 / 7 + years of actual experience in an international law firm reputable and / or in the legal department of a large listed company, ideally in an international context.
  • Languages: bilingual in Chiness and English. A third language is a plus. 
  • A good knowledge of Microsoft is required: Word, Excel and Powerpoint.
